-Official Rules-

1. Contest is sponsored by American Wagering, Inc. and its affiliates (collectively “Company” or “we”).

2. Contestants may sign up for the contest starting on Thursday, August 1, 2024 (subject to change) at 11:00 AM at any

participating full-service sportsbook location in the state of Nevada. See https://caesars.com/sportsbook-and-

casino/nv/locations/ for current locations. Operating hours may vary.

Eligibility

3. Contestants must be at least 21 years of age and must present a valid, accepted form of photo ID at registration. Visit

any participating sportsbook for a list of acceptable IDs.

4. Contestants must have an active Caesars Rewards card to enter the contest. Joining Caesars Rewards (“Rewards

Program”) is free.

5. Employees of Company and their immediate families are not eligible to participate in the contest.

6. Contestants must be in good standing with their Rewards Program to enter the contest and remain in good standing

for the duration of the contest to be eligible for any prizes.

Registration and Entry Fees

7. There is a $25 fee per entry. Contestants who purchase four (4) entries will receive one (1) additional free entry.

Maximum of one (1) additional free entry per person. Entries are non-transferable.

8. Company reserves the right to award free promotional entries in its discretion. Contestants may not use both a free

entry coupon and the “buy four, get one free” offer. Contestants must use one or the other. Use of both may result in

disqualification from the contest.

9. Maximum of fifteen (15) entries allowed per person. Purchasing more than fifteen (15) entries (including purchases

made on a contestant’s behalf by another person) will result in disqualification from the contest and no refund of entry

fees. Free entries awarded by Company will count towards the 15-entry maximum.

10. Upon registration, the contestant will receive a receipt for each entry including the entry ID(s) that will be used

throughout the Contest Period. It is the sole responsibility of the contestant to maintain their receipt and entry ID(s).

11. No late registrations allowed. Contest registrations will not be accepted after 9:00 AM on September 8, 2024

(subject to change).

12. In the event more than $210,000 in entry fees are collected, all money collected from additional entry fees will be

added to the Grand Prize total.

Weekly Selections

13. The contest requires contestants to select the winners (without point spreads) of Sunday, Monday, and select Saturday

Pro Football games at the Company’s discretion, during all eligible weeks of the 2024-25 Pro Football regular season

(“Regular Season”).

14. Fifteen (15) selections are required each week on the contest card. For weeks with less than fifteen (15) eligible

games, game point “totals” will be added to bring number of selections up to fifteen (15).

15. Contestants must submit their weekly selections to a participating full-service sportsbook in the state of Nevada or

enter through a sportsbook wagering Kiosk in Nevada before the start of the first game on each Sunday or select

Saturday Pro Football games at the Company’s discretion, for each week of play. Find participating sportsbooks athttps://caesars.com/sportsbook-and-casino/nv/locations/. Contact the sportsbook for hours of operation.

16. Tickets generated from the wagering system are used to determine winners and losers. Contestants must check their

ticket before leaving the window or kiosk. Once selections have been submitted and the contestant leaves the window

or kiosk, tickets cannot be changed or voided. Any entry submitted with the wrong entry ID will be disqualified and

awarded zero wins for that week. It is the sole responsibility of the contestant to provide and maintain their entry ID(s).

17. In the event of a system malfunction during the time contestants are making their weekly picks on Saturdays/Sundays,

at the discretion of the Company, contestants can fill out their picks on the parlay card stubs and hand the completed

stubs to the ticket writers. Ticket writers will time stamp the entries before the start of the first game to have them

graded in the weekly and season long contest.

Weekly Results

18. Full standings will be updated and displayed each week at www.williamhill.us and at each participating full-service

sportsbook location.

19. All Pro Football games must be played on the date originally scheduled or by the following day. In the event a game is

postponed/canceled/forfeited beyond the following day, the game will be declared “no action” and will not count

towards weekly or season standings.

Weekly Prizes

20. The contestant who selects the most winners each week of the Regular Season will receive $10,000 cash (“Weekly

Prize”). Weekly Prize payouts will be made available 48 hours after official results have been posted by the Company

each week.

21. In the event of a tie for any Weekly Prize, the tied contestants will equally split the Weekly Prize. For example, if four

(4) contestants tie for the most winners selected in the same week, each contestant will receive $2,500 for that week.

Season Prizes and Bonus Prize

22. If the Regular Season ends having played all eighteen (18) weeks on January 5, 2025, then the contest will end, and

all prizes will be paid out in full as described in these Official Rules. The Weekly Prize for Week 18 and all Season

Prizes will be made available 48 hours after the final Week 18 results have been posted by Company.

23. For Season Prizes, the contest will be considered official if fifteen (15) weeks or more of the Regular Season have

been completed before March 6, 2025, in which case all Season Prizes will be paid out. For a full 18-week season:

a. The contestant who selects the most correct winners will receive $20,000 (Grand Prize);

b. The contestant who selects the second highest number of winners will receive $7,500 (2nd Place Prize); and

c. The contestant who selects the third highest number of winners will receive the $2,500 (3rd Place Prize).

See “Season Prize Adjustments” below for payout amounts if the Regular Season is less than eighteen (18) weeks.

24. In the event the Grand Prize winner has selected 215 or more winners over a full 18 weeks of the Regular Season, the

Grand Prize winner will receive a bonus prize of One Million Dollars ($1,000,000) cash (“Bonus Prize”). If less than

eighteen (18) weeks of the Regular Season have been completed as of March 6, 2025, no Bonus Prize will be paid

out.

25. In the event of a tie for any of the Season Prizes or Bonus Prize, those prizes will be split equally among all tied

contestants. For example:

a. If two (2) contestants both select the most winners over the entire Regular Season, then the Grand Prize and

2nd Place Prize will be combined and divided equally between the two contestants, and the contestant with the

next most selected winners will be paid the 3rd Place Prize.

b. If three (3) or more contestants each select the most winners over the entire Regular Season, then the Grand

Prize, 2nd Place Prize, and 3rd Place Prize will be combined and divided equally among the tied contestants.

Shortened or Postponed Regular Season

26. If the Regular Season is shortened and/or postponed for any reason, (a) contestants may be entitled to a partial or full

refund of their entry fees as described below under “Entry Fee Refunds,” and (b) Season Prize payouts may be

adjusted as described below under “Season Prize Adjustments.

27. For purposes of calculating how many weeks will qualify for this contest, only Regular Season weeks that have

completed before March 6, 2025, will be counted for purposes of calculating refunds or Season Prize adjustments.

For example, if the Regular Season is shortened to ten (10) weeks, and the Sunday games for Week 9 and Week 10

are played on March 9 and March 16 (i.e., after March 6, 2025), then for purpose of calculating refunds and prize

adjustments below, the Regular Season shall be considered eight (8) weeks long. The contest would end after eight

(8) weeks, and contestants would not submit picks for Weeks 9 and 10.

Entry Fee Refunds

28. In a shortened Regular Season, entry fees (or a portion thereof) may be refunded depending on how many Regular

Season weeks have been completed by March 6, 2025, as follows:

a. Four (4) weeks or less: All paid entries will be refunded in full.

b. Five (5) – Nine (9) weeks: $20 of each paid entry will be refunded.

c. Ten (10) – Fourteen (14) weeks: $10 of each paid entry will be refunded.

d. Fifteen (15) – Seventeen (17) weeks: No refunds.

29. When payable, refunds will take 7-15 days to process following March 6, 2025 (or the actual end of the

Regular Season if earlier). After processing, a contestant can receive his or her refund at the sportsbook where

contestant originally registered. Any refunds that haven’t been collected before April 27, 2025, will be forfeited subject

to applicable law.Season Prize Adjustments

30. If less than fifteen (15) weeks have been played as of March 6, 2025, no Season Prizes will be paid out, and all

contestants will instead be eligible for the entry refunds described above.

31. If only fifteen (15), sixteen (16), or seventeen (17) weeks of the Regular Season have been completed by March 6,

2025, all unawarded Weekly Prize amounts for the missing weeks (through Week 18) will be reallocated to the

Season Prize payouts as follows:

a. 67% to Grand Prize

b. 25% to 2nd Place Prize

c. 8% to 3rd Place Prize.

As an example, if only fifteen (15) weeks have been played as of March 6, 2025, the amounts allocated for the

Weekly Prizes for Weeks 16, 17, and 18 (i.e., $10,000 x 3, or $30,000 in total) will be reallocated to the Season Prizes

as follows: $20,100 added to the Grand Prize, $7,500 added to the 2nd Place Prize, and $2,400 added to the 3rd Place

Prize. The aggregate Season Prizes would then become $40,100 for the Grand Prize, $15,000 for the 2nd Place Prize,

and $4,900 for the 3rd Place Prize.

Prize Redemptions

32. Winning tickets are non-transferable. A valid, accepted form of photo I.D. must be presented in person to claim prizes.

33. All prizes must be redeemed at a participating full-service sportsbook by Sunday, April 27, 2025. No exceptions.

Uncollected prizes are forfeited and become property of the Company subject to applicable law.

Additional Terms and Conditions

34. Contestants are responsible for payment of any and all taxes, licenses, registrations and other fees, as applicable, that

relate to their participation in the contest. Winners will be subject to IRS reporting of winnings based on applicable laws

and IRS regulations. Potential winners who refuse to provide their tax identification number when required will not be

allowed to collect their prize. Foreign nationals may also be required to fill out a Form W-8 BEN at registration.

35. All decisions regarding the interpretation of these Official Rules lie solely with Company, whose decisions are final. Any

questions or disputes concerning scenarios not directly addressed by these Official Rules will be resolved by the

Company’s management in a manner deemed to be fair to all concerned, and that decision shall be final and binding

on all contestants. If a contestant objects to management’s decision, he or she has the option to seek resolution with

the Nevada Gaming Control Board.

36. Company reserves all rights, including the right to make changes to these Official Rules or cancel the contest at any

time. Without limiting the foregoing, Company reserves the right to change the Contest Period or entry deadlines due

to unforeseen or extenuating circumstances.

37. Applicable Caesars Sportsbook House Rules, Terms and Conditions, and Regulations may apply to the contest.

the participating location’s sports wagering kiosks.

38. Participation is void where prohibited or restricted by law.

39. This contest is subject to all applicable federal, state, and local laws and regulations, and all aspects of the contest are

subject to the approval of appropriate regulatory authorities to the extent required.

40. Company may disqualify any contestant from receiving a prize based upon fraud, dishonesty, violation of these Official

Rules or other misconduct, whether or not related to this contest.

41. Company is not liable for injuries or losses arising or resulting from participation in the contest and is not liable for any

acts or omissions by employees, whether negligent or willful, in the conduct of the contest, and is not liable in the

event of any equipment or software malfunction.

42. Company is not responsible for lost, late, mutilated, or illegible entries, nor for electronic transmission errors or delays

resulting in the omission, interruption, deletion, defect, delay in operations or transmission, theft, destruction,

unauthorized access to, or alterations of, entry materials, for technical, hardware, software, telephone failures of any

kind, lost or unavailable connections, fraud, incomplete, garbled, or delayed computer transmissions, whether caused

by the Company, users, or by any of the equipment or programming associated with, or utilized in the contest, or by

any technical or human error which may occur in the processing of submissions which may limit, restrict, or prevent a

contestant’s ability to participate in the contest.

43. If for any reason, the contest is not capable of running as planned, including infection by computer virus, bugs,

tampering, unauthorized intervention, fraud, technical failures, or any other causes within or beyond the control of

Company, which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this contest,

Company reserves the right at its sole discretion to cancel, terminate, modify or suspend the contest.

44. Any attempt by any person to deliberately damage or undermine the legitimate operation of this contest may be in

violation of criminal and civil laws, and should such an attempt be made, Company reserves the right to seek

damages from any such person to the fullest extent of the law.

45. Records related to the contest will be retained for record keeping purposes in accordance with local regulatory

requirements.

46. All winners grant Company the right to take and utilize all photographs taken of them and to use their name in

connection with the contest for any publicity, promotional or advertising purposes in any media without compensation,

consideration, notice, review or consent. Winners release Company, its affiliates, and their respective agents,

employees and officers, of any liability in connection with such use.

47. Participation in this contest constitutes the contestant’s agreement to abide by these Official Rules.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, WILLIAM HILL MAY TERMINATE THIS AGREEMENT WITH OR WITHOUT NOTICE IF ILLINOIS EXECUTIVE ORDER 2020-41 EXPIRES, IS TERMINATED, ENDED OR WITHDRAWN, OR HELD INVALID.  

Executive Order 2020-41 states in pertinent part that “During the duration of the Gubernatorial Disaster Proclamations, the provisions in the Sports Wagering Act, 230 ILCS 45/25-30(f), 25-35(f), and 25-40(i) requiring in-person creation of a sports wagering account at a facility authorized pursuant to the Act in order to participate in sports wagering offered over the internet or through a mobile application, are suspended.”
